Please read these Terms of Service carefully. By accessing or using the Co-Splay platform, you agree to be bound by these terms. If you do not agree to all of these terms, do not access or use the platform.
Introduction
These Terms of Service ("Terms," "Agreement," or "Terms of Service") constitute a legally binding agreement between Veil Co-Splay LLC, a Nevada limited liability company ("Co-Splay," "Company," "Platform," "we," "us," or "our"), and you ("you," "your," "User," or "Member"), whether you are a visitor, registered user, subscriber, fan, creator, agency, or other participant on the Platform.
By accessing or using www.co-splay.com, our mobile applications, or any related services, features, content, or applications offered by Co-Splay (collectively, the "Platform" or "Services"), you acknowledge that you have read, understood, and agree to be bound by these Terms, together with our Privacy Policy, our Creator Agreement (if you are a creator), our Purchaser and Subscriber Terms (if you make purchases or subscribe), and our DMCA Policy, all of which are incorporated by reference into these Terms.
We reserve the right to change or modify these Terms at any time and in our sole discretion. Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes.
Section 1: Eligibility and Age Requirements
1.1 Minimum Age Requirement
You must be at least eighteen (18) years of age to access, use, register for, or otherwise participate in the Platform in any capacity. The Platform is strictly intended for adults. This age requirement applies to all users, regardless of whether they are visitors, registered users, subscribers, fans, creators, agencies, or any other category of participant.
1.2 Age Verification
By accessing or using the Platform, you represent, warrant, and certify that you are at least eighteen (18) years of age. We may require additional age verification at any time, including but not limited to when you:
- Create an account;
- Make a purchase or subscription;
- Access certain features or content;
- Apply to become a creator;
- Engage in any transaction on the Platform.
We use commercially reasonable methods to verify age, which may include:
- Credit card or debit card authorization;
- Third-party age verification services;
- Government-issued identification documents;
- Any other verification method we deem appropriate in our sole discretion.
1.3 Prohibition on Minors
The Platform is not intended for individuals under the age of eighteen (18). We do not knowingly collect, store, use, or process personal information from anyone under eighteen (18) years of age. If we discover that any user is under eighteen (18), or that any content involves anyone under eighteen (18), we will immediately:
- Terminate the user's account without notice;
- Delete all associated content and data;
- Forfeit any earnings, purchases, or other benefits;
- Report the matter to appropriate authorities if warranted.
1.4 Geographic Restrictions
The Platform is intended for users in the United States and select international markets where such services are legal and permitted. Access to the Platform is prohibited in jurisdictions where:
- Local laws restrict or prohibit the types of content or services offered;
- Age verification requirements differ materially from those described herein;
- The Platform has determined, in its sole discretion, that service should not be provided.
You are solely responsible for ensuring that your use of the Platform complies with all applicable laws, regulations, and ordinances in your jurisdiction.
1.5 Legal Capacity
By using the Platform, you represent and warrant that you have the legal capacity to enter into a binding contract in your jurisdiction.
Section 2: Safe-for-Work (SFW) Content Policy
2.1 Platform Content Standard
Co-Splay is a 100% Safe-For-Work (SFW) platform. This is a fundamental and non-negotiable requirement that applies to all content, communications, and conduct on the Platform. All content posted, uploaded, shared, transmitted, or otherwise made available on the Platform must be appropriate for a family-friendly environment, similar to what would be acceptable at a general audience convention or public gathering.
2.2 Prohibited Content (Acceptable Use)
The following content is strictly prohibited on the Platform and constitutes grounds for immediate removal and possible account termination:
(a) Nudity and Sexual Content:
- Full or partial nudity, including exposure of genitals, pubic area, buttocks, or female nipples/areola
- Sheer, see-through, or transparent clothing that reveals any of the above
- Lingerie, underwear, or swimwear modeled in a sexually suggestive manner
- Implied nudity or strategic covering that suggests nudity
- Sexual poses, gestures, or expressions
- Simulated sex acts or sexual activity of any kind
- Content that depicts or suggests sexual arousal
- Fetish content of any nature
- Content that sexualizes any individual
(b) Adult and Explicit Materials:
- Adult toys, devices, or sexually explicit props
- Products or services related to adult entertainment
- Links or references to adult content, adult websites, or adult services
- Content that promotes, advertises, or facilitates adult services
- Sexually explicit or suggestive text, captions, or descriptions
(c) Violence and Graphic Content:
- Excessive gore, blood, or graphic violence
- Real or realistic depictions of violence, injury, or death
- Content promoting or glorifying violence
- Weapons displayed in a threatening manner
- Self-harm or suicide content
(d) Illegal and Harmful Content:
- Content depicting illegal activities
- Drug use or promotion of drug use
- Content that promotes, facilitates, or glorifies illegal activities
- Hate speech, discrimination, or content targeting protected groups
- Harassment, bullying, threats, or intimidation
- Defamatory or libelous content
- Content that violates the privacy rights of others
- Content that infringes intellectual property rights
2.3 Content Moderation
We employ multiple methods to enforce our SFW policy, including:
- Artificial intelligence and machine learning-based content moderation;
- Content hashing and fingerprinting technology;
- Manual review by trained content moderators;
- User reporting systems;
- Periodic audits of content and accounts.
2.4 Consequences of Violations
Violations of our SFW policy will result in one or more of the following actions at our sole discretion:
- Immediate removal of the offending content;
- Warning or notice to the account holder;
- Temporary suspension of the account;
- Permanent termination of the account;
- Forfeiture of any earnings, balances, or benefits;
- Reporting to law enforcement if warranted;
- Legal action to recover damages.
2.5 Intellectual Property in Content
Content depicting copyrighted characters, trademarks, or other intellectual property must comply with all applicable laws, including fair use principles under United States copyright law. Such content:
- May not mislead users into believing it is officially licensed, endorsed, or sponsored;
- Must clearly indicate that it is fan-created or unofficial if there is any potential for confusion;
- Must not infringe on the intellectual property rights of any third party;
- Is subject to removal upon receipt of a valid takedown notice.
Section 3: User Accounts and Registration
3.1 Account Creation
To access certain features of the Platform, you must create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information;
- Maintain and promptly update your account information;
- Keep your login credentials secure and confidential;
- Accept responsibility for all activities under your account;
- Notify us immediately of any unauthorized use of your account.
3.2 Account Information Accuracy
Failure to provide accurate information during registration may result in:
- Loss of access to your account;
- Forfeiture of any purchased content, subscriptions, or credits;
- Forfeiture of any earnings or balances;
- Permanent ban from the Platform;
- Legal action if fraudulent information was provided.
3.3 Account Security
You are solely responsible for maintaining the confidentiality of your login credentials. You agree to:
- Use strong, unique passwords;
- Enable two-factor authentication if available;
- Not share your account credentials with any third party;
- Log out of your account when using shared or public devices;
- Notify us immediately if you suspect unauthorized access.
3.4 One Account Per Person
Unless expressly permitted in writing by Co-Splay, each individual may only maintain one account. Creating multiple accounts to circumvent restrictions, bans, or for any other purpose is prohibited and grounds for termination of all associated accounts.
3.5 Prohibition on Impersonation
You may not impersonate any person, entity, or organization. This includes:
- Using another person's name, likeness, or identity;
- Falsely claiming affiliation with any person or entity;
- Creating accounts that mimic or could be confused with other users;
- Misrepresenting your identity to other users or to us.
3.6 Account Types
The Platform offers different types of accounts, including but not limited to:
- Visitor accounts (limited access without registration);
- Registered user accounts (free accounts with basic features);
- Subscriber accounts (paid accounts with access to creator content);
- Creator accounts (accounts that can publish content and receive payments);
- Agency accounts (accounts that manage multiple creators).
Section 4: User-Generated Content
4.1 Content Ownership
You retain ownership of all content that you create, upload, post, or otherwise make available on the Platform ("User Content"). Co-Splay does not claim ownership of your User Content.
4.2 License Grant to Co-Splay
By posting, uploading, or otherwise making User Content available on the Platform, you grant Co-Splay a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, transferable, and sublicensable license to:
- Host, store, cache, and backup your User Content;
- Display, stream, and distribute your User Content to users of the Platform;
- Reproduce, modify, adapt, and create derivative works of your User Content;
- Use, reproduce, and display your public profile, username, display name, profile picture, bio, and likeness;
- Feature your User Content on the Platform homepage, in search results, and in recommendations;
- Use your User Content in marketing, advertising, promotional, and publicity materials;
- Make your User Content available to third parties for syndication, distribution, or promotional purposes;
- Sublicense these rights to third parties as necessary to operate and promote the Platform.
This license continues even if you delete your User Content or terminate your account, to the extent your User Content has been shared, distributed, or copied by others, or as necessary for us to fulfill our legal or contractual obligations.
4.3 Waiver of Moral Rights
To the maximum extent permitted by applicable law, you irrevocably waive any and all moral rights, droit moral, rights of attribution, rights of integrity, rights of publicity, and similar rights in connection with your User Content and our use thereof as permitted under these Terms.
4.4 Content Representations and Warranties
By posting User Content, you represent and warrant that:
- You are the creator and owner of the User Content, or have all necessary rights, licenses, permissions, and consents to grant the rights described herein;
- Your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, rights of publicity, rights of privacy, or other proprietary rights;
- Your User Content complies with all applicable laws, regulations, and these Terms;
- Your User Content does not contain any viruses, malware, or other harmful code;
- Your User Content is accurate and not misleading;
- If your User Content depicts any individual other than yourself, you have obtained all necessary permissions and releases from such individual.
4.5 Content Removal
We reserve the right, but are not obligated, to:
- Monitor, review, and screen User Content;
- Remove or disable access to any User Content that violates these Terms, our policies, or applicable law;
- Remove or disable access to any User Content at the request of the content owner or in response to a valid takedown notice;
- Remove or disable access to any User Content for any reason in our sole discretion.
Section 5: Intellectual Property Rights
5.1 Co-Splay's Intellectual Property
The Platform, including its original content, features, functionality, design, layout, graphics, logos, icons, images, audio, video, software, and code (collectively, "Co-Splay Content"), is owned by Co-Splay, its licensors, or other providers and is protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.
5.2 Limited License to Users
Subject to your compliance with these Terms, Co-Splay grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform and Co-Splay Content solely for your personal, non-commercial use. This license does not include the right to:
- Modify, reproduce, distribute, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any Co-Splay Content;
- Use any data mining, robots, or similar data gathering or extraction methods;
- Download or copy account information for the benefit of another party;
- Use the Platform or Co-Splay Content for any commercial purpose;
- Frame, mirror, or otherwise incorporate any portion of the Platform into any other website, application, or service;
- Attempt to reverse engineer, decompile, disassemble, or otherwise attempt to discover the source code of any portion of the Platform;
- Remove, alter, or obscure any copyright, trademark, or other proprietary notices.
5.3 Trademark Rights
"Co-Splay," "Veil Co-Splay," and all related names, logos, product and service names, designs, and slogans are trademarks of Co-Splay or its affiliates. You may not use such marks without our prior written permission.
5.4 DMCA Compliance
We respect the intellectual property rights of others and expect users of the Platform to do the same. We comply with the Digital Millennium Copyright Act (17 U.S.C. § 512) and respond to valid notices of alleged copyright infringement. Our full DMCA Policy is available at co-splay.com/dmca.
5.5 Repeat Infringer Policy
In accordance with the DMCA and other applicable law, we maintain a policy to terminate, in appropriate circumstances, the accounts of users who are determined to be repeat infringers.
5.6 Copyright Infringement Claims
If you believe that any content on the Platform infringes your copyright, please submit a notice to our designated DMCA agent:

Section 6: Prohibited Conduct (Acceptable Use Policy)
6.1 General Prohibitions
You agree not to engage in any of the following prohibited activities:
(a) Harassment and Abuse:
- Harassing, threatening, intimidating, stalking, or doxxing any individual
- Bullying, ridiculing, or demeaning other users
- Engaging in any conduct that is harmful, threatening, abusive, or tortious
- Sending unsolicited or unwanted communications to other users
(b) Fraud and Deception:
- Impersonating any person, entity, or organization
- Providing false, misleading, or inaccurate information
- Engaging in fraud, money laundering, or illegal financial activities
- Using the Platform for any illegal purpose
- Creating fake accounts or fake engagement
(c) Content Violations:
- Posting hate speech, discriminatory content, or content targeting protected groups
- Posting NSFW, adult, or sexually explicit content (as defined in Section 2)
- Posting illegal, harmful, or dangerous content
- Posting spam, advertisements, or promotional content without authorization
- Posting content that violates any third party's intellectual property rights
(d) Technical Abuse:
- Using bots, scripts, or automated methods to access the Platform
- Scraping, crawling, or harvesting data from the Platform
- Attempting to reverse engineer, decompile, or disassemble any part of the Platform
- Attempting to interfere with, disrupt, or compromise the integrity of the Platform
- Circumventing any security measures, access controls, or technical restrictions
- Introducing viruses, malware, or other harmful code
(e) Circumvention:
- Circumventing age verification requirements
- Circumventing payment or subscription requirements
- Creating multiple accounts to evade restrictions or bans
- Using VPNs or other tools to access the Platform from prohibited jurisdictions
(f) Off-Platform Solicitation:
- Taking subscribers, followers, or fans off the Co-Splay platform to engage in any product sales (digital or otherwise)
- Soliciting users to move communications to other platforms to avoid monitoring or fees
- Promoting competing platforms or services
6.2 Consequences of Violations
Violations of these prohibitions may result in:
- Warning or notice;
- Temporary or permanent suspension of your account;
- Termination of your account;
- Forfeiture of any earnings, balances, or benefits;
- Reporting to law enforcement;
- Legal action to recover damages and enforce our rights.
Section 7: Third-Party Communications Disclosure
7.1 Creator Communications
You acknowledge and agree that when you communicate with creators through the Platform, you might or might not be communicating directly with the actual creator you follow and/or subscribe to.
7.2 Use of Teams and Assistants
Creators may use teams, assistants, agencies, or other third parties to assist them with:
- Responding to messages and communications;
- Managing their accounts and content;
- Selling products and merchandise;
- Creating content;
- Providing customer service.
These teams and assistants are used to create a more engaging, responsive, and timely communication experience for subscribers.
7.3 Acknowledgment of Third-Party Access
You acknowledge and understand that:
- Third-party chatters, assistants, or team members may be responding on behalf of creators;
- These third parties may or may not be located within the United States;
- These third parties will have access to chat logs, previous communications, purchase history, and other information related to your interactions with the creator;
- You may not always be speaking directly with the creator whose content you subscribe to.
Section 8: Privacy
8.1 Privacy Policy
Your use of the Platform is subject to our Privacy Policy, which is incorporated by reference into these Terms. Our Privacy Policy explains how we collect, use, share, and protect your personal information. By using the Platform, you consent to our collection and use of your information as described in the Privacy Policy.
8.3 Data Collection for Paid Features
When you make purchases, subscribe to creators, or access paid features, we and our third-party payment processors may collect additional information, including:
- Payment card information (processed by third-party processors);
- Billing address;
- Transaction history;
- Age verification data.
8.4 Data Retention
We retain your personal data as described in our Privacy Policy. Certain data, including tax records and transaction history, may be retained for longer periods as required by law.
Section 9: Disclaimers and Limitation of Liability
9.1 Disclaimer of Warranties
To the maximum extent permitted by applicable law, the Platform and all content, features, functionality, products, and services are provided "as is" and "as available" without warranties of any kind, either express or implied.
We disclaim all warranties, express or implied, including but not limited to:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement;
- Warranties arising from course of dealing, course of performance, or usage of trade;
- Warranties that the Platform will be uninterrupted, error-free, secure, or free of viruses or other harmful components;
- Warranties regarding the accuracy, reliability, completeness, or timeliness of any content;
- Warranties that your use of the Platform will meet your requirements or expectations.
9.4 Limitation of Liability
To the maximum extent permitted by applicable law:
- In no event shall Co-Splay, its officers, directors, employees, agents, affiliates, licensors, or service providers be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for loss of profits, goodwill, data, business opportunities, or other intangible losses.
- Our total aggregate liability to you for all claims arising out of or relating to these Terms or your use of the Platform shall not exceed the greater of: (i) the amount you paid to us in the twelve (12) months immediately preceding the claim; or (ii) one hundred dollars ($100).
9.6 Jurisdictional Limitations
Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for certain damages. If you reside in such a jurisdiction, some or all of the above exclusions or limitations may not apply to you, and you may have additional rights.
Section 10: Indemnification
10.1 Indemnification Obligation
You agree to defend, indemnify, and hold harmless Veil Co-Splay LLC, its officers, directors, employees, agents, affiliates, licensors, and service providers from and against any and all claims, damages, obligations, losses, liabilities, costs, expenses, and fees (including reasonable attorneys' fees) arising from or relating to:
- Your use of the Platform;
- Your User Content;
- Your violation of these Terms or any applicable law, regulation, or third-party right;
- Your interaction with other users of the Platform;
- Any dispute between you and any other user or third party;
- Any claim that your User Content caused damage to a third party;
- Your negligence, willful misconduct, or fraud.
10.2 Defense and Settlement
We reserve the right, at our own expense, to assume the exclusive defense and control of any matter otherwise subject to indemnification by you, and you agree to cooperate with our defense of such claims. You agree not to settle any such matter without our prior written consent.
Section 11: Dispute Resolution and Arbitration
11.1 Governing Law
These Terms and any disputes arising out of or relating to these Terms or your use of the Platform shall be governed by and construed in accordance with the laws of the State of Nevada, United States of America, without regard to its conflict of laws principles.
11.2 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform shall be determined by binding arbitration in Windermere, Florida (or another mutually agreed location), under the rules of the American Arbitration Association ("AAA").
11.3 Arbitration Procedures
- The arbitration shall be conducted by a single arbitrator selected in accordance with AAA rules.
- The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.
- The arbitrator shall have the authority to grant any remedy that would be available in a court of law.
- Each party shall bear its own costs and expenses, except as otherwise provided by the arbitrator.
11.5 Class Action Waiver
You and Co-Splay agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action. You waive any right to participate in a class action, class arbitration, or other representative proceeding.
11.6 Exceptions to Arbitration
Notwithstanding the foregoing, either party may:
- Bring an individual action in small claims court for disputes within the court's jurisdiction;
- Seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual property rights or confidential information.
11.7 Opt-Out Right
You may opt out of this arbitration agreement by sending written notice to us within thirty (30) days of first accepting these Terms. Such notice must be sent to:

Section 12: Termination
12.1 Termination by You
You may terminate your account at any time by following the account deletion process in your account settings or by contacting us at support@co-splay.com.
12.2 Termination by Co-Splay
We may suspend or terminate your account and access to the Platform at any time, with or without notice, for any reason, including but not limited to:
- Violation of these Terms or any of our policies;
- Conduct that we believe is harmful to other users, the Platform, or third parties;
- Request by law enforcement or other government agencies;
- Extended periods of inactivity;
- Technical or security issues;
- Non-payment of any fees owed;
- Suspected fraud, money laundering, or illegal activity;
- Our decision to discontinue the Platform or any part thereof.
12.3 Effect of Termination
Upon termination of your account:
- Your right to access and use the Platform will immediately cease;
- Your User Content may be deleted (except as required for legal or operational purposes);
- Any pending earnings or balances may be forfeited if termination was due to your violation of these Terms;
- You will remain liable for any obligations incurred before termination;
- All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification obligations, and limitations of liability.
12.4 Data Deletion
Following account termination, we will permanently delete or anonymize your personal data within thirty (30) days, except for:
- Data we are legally required to retain (such as tax records, which must be retained for seven years);
- Data necessary to fulfill our legal or contractual obligations;
- Data that has been shared with or copied by others before termination;
- Anonymized or aggregated data that cannot be used to identify you.
Section 13: Changes to Terms
13.1 Right to Modify
We reserve the right to modify, update, or revise these Terms at any time in our sole discretion.
13.2 Notice of Changes
We will notify you of material changes by:
- Posting the updated Terms on the Platform with a new "Last Updated" date;
- Sending an email notification to the address associated with your account;
- Displaying an in-app notification or banner;
- Other means we deem appropriate.
13.3 Acceptance of Changes
Your continued use of the Platform following the posting of revised Terms means that you accept and agree to the changes. If you do not agree to the modified Terms, you must stop using the Platform and terminate your account.
Section 14: General Provisions
14.1 Entire Agreement. These Terms, together with our Privacy Policy, Creator Agreement (if applicable), Purchaser and Subscriber Terms (if applicable), and DMCA Policy, constitute the entire agreement between you and Co-Splay regarding your use of the Platform.
14.2 Severability. If any provision of these Terms is found to be invalid, illegal, or unenforceable, such finding shall not affect the validity of the remaining provisions.
14.3 Waiver. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
14.4 Assignment. You may not assign, transfer, or sublicense any of your rights or obligations under these Terms without our prior written consent. We may freely assign, transfer, or sublicense our rights and obligations under these Terms without restriction.
14.5 Force Majeure. We shall not be liable for any failure or delay in performance due to causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, government actions, labor disputes, power failures, or internet outages.
14.6 No Third-Party Beneficiaries. These Terms are for the sole benefit of you and Co-Splay.
14.7 Relationship of the Parties. Nothing in these Terms shall be construed to create a partnership, joint venture, employment, or agency relationship between you and Co-Splay.
14.10 Electronic Communications. By using the Platform, you consent to receive electronic communications from us, including notices about your account, promotional messages, and other information related to the Platform.
Section 15: Additional Terms
15.1 Creator Agreement. If you are a creator on the Platform, you are also bound by our Creator Agreement. In the event of any conflict between these Terms and the Creator Agreement, the Creator Agreement shall control with respect to your activities as a creator.
15.2 Purchaser and Subscriber Terms. If you make purchases or subscribe to creators on the Platform, you are also bound by our Purchaser and Subscriber Terms.
15.3 DMCA Policy. Our DMCA Policy governs our procedures for addressing claims of copyright infringement on the Platform.
15.4 Community Guidelines. We may publish community guidelines or other policies that supplement these Terms. Your use of the Platform is also subject to any such guidelines or policies. View Community Guidelines.
